1. Eligibility & Accounts

You must be at least 18 years old and capable of entering into legally binding agreements to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach.

2. Plans, Projects & Billing Overview

• Plus Plan: Includes one (1) active project and is billed at a flat monthly or yearly rate depending on the billing interval you choose.
• Pro & Ultra Plans: Billed based on the number of active projects. Each time you activate or add a project, the subscription quantity for your plan increases immediately and you are charged for the remainder of the current billing period for that project. Paused projects remain billable for the current cycle because the charge is incurred at activation.
• Project Activations: Activating a project at any time during a billing period triggers billing for the entire remainder of that period. Deactivating or pausing a project prevents additional charges in future periods but does not generate credits or refunds for the current one.
• Downgrades: When you schedule a downgrade, it applies at the end of the current billing period. You remain responsible for charges already incurred, including any project activations made during the period.

3. Payments & Invoices

All subscriptions renew automatically unless cancelled in accordance with these Terms. You authorize Boostmatic (or our third-party payment processor) to charge the payment method on file for recurring fees, additional project activations, and any applicable taxes. Payment obligations are non-cancellable and fees paid are non-refundable except where required by law. You are responsible for ensuring that your billing information remains current.

4. Trials & Promotions

We may offer limited free or discounted trials. At the end of a trial, the paid subscription will begin automatically unless you cancel before the trial ends. Promotional terms apply only during the stated period and may be subject to additional conditions.

5. Service Usage Guidelines

You agree not to misuse the Service, interfere with its operation, or attempt to access data that does not belong to you. Boostmatic reserves the right to suspend or terminate accounts that violate these Terms or applicable law.

6. Intellectual Property

Boostmatic retains all rights, title, and interest in the Service, including software, documentation, designs, and trademarks. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your business purposes. Feedback you provide may be used to improve the Service without obligation.

7. Customer Content

You own the content you upload or create with Boostmatic. You grant Boostmatic a limited license to host, display, and process your content solely to provide the Service. You are responsible for ensuring that your content complies with applicable laws and does not infringe the rights of others.

8. Confidentiality & Data Protection

Each party agrees to protect the other's confidential information using reasonable care. Boostmatic processes personal data in accordance with our Privacy Policy. By using the Service you consent to such processing and represent that you have obtained all necessary authorizations to share personal data with us.

9. Third-Party Services

The Service may integrate with third-party platforms (e.g., social networks). Your use of third-party services is governed by their own terms, and Boostmatic is not responsible for third-party products or content.

10. Service Changes & Availability

We may update or modify the Service at any time. We strive for high availability but do not guarantee uninterrupted access. Planned maintenance or unforeseen outages may affect service availability.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. Boostmatic does not warrant that the Service will meet your requirements or operate uninterrupted or error-free.

12. Limitation of Liability

To the maximum extent permitted by law, Boostmatic and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, or data. Our total liability for any claim arising out of or relating to the Service is limited to the amount you paid to Boostmatic in the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Boostmatic, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your content, use of the Service, or violation of these Terms.

14. Termination

You may cancel your subscription at any time through the dashboard. Cancellation takes effect at the end of the current billing period. We may suspend or terminate your access if you violate these Terms or fail to pay fees when due. Upon termination, your license to use the Service ends but payment obligations previously incurred survive.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the Service or email. Continued use of the Service after the effective date of updated Terms constitutes acceptance of the changes.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes will be resolved exclusively in the state or federal courts located in San Francisco County, California, unless otherwise required by applicable law.
